IRC Section 409A
When a private company grants stock options or other equity-based compensation, it needs a supportable determination of the fair market value of its common stock. Brookline Valuation Services, Inc. provides independent Section 409A valuations for private companies in Greater Boston and throughout the United States.
Each engagement is based on the company’s specific facts as of the valuation date. We analyze financial performance and outlook, relevant financing and transaction evidence, the company’s capital structure, the rights and preferences of its securities, dilution and other factors that influence common-stock value. We select and apply valuation methods appropriate to the assignment and explain the key assumptions, analyses and conclusions in clear, well-supported documentation.
409A Valuation Services
- Valuations of common stock for stock-option grants and other equity compensation
- Analysis of complex capital structures, including preferred stock, convertible securities, options and warrants
- Consideration of recent financing rounds, transactions and material company developments
- Assessment of financial results, forecasts, market evidence and company-specific risks
- Clear reports describing the valuation methods, inputs, assumptions and conclusions
A Practical, Well-Documented Process
We work directly with company management and coordinate with the company’s legal, tax and accounting advisers as appropriate. Our process begins by defining the valuation date, the interest being valued and the intended use. We then request relevant financial information, capitalization records, governing documents, financing materials and information about significant events. The report explains how those facts inform the fair market value conclusion.
Mark Shifrin, ASA, has focused on business valuation since 2007 and brings more than 25 years of valuation experience. Clients work directly with Mark throughout the engagement.
